Dear Colleagues,
This Special Issue addresses the determinants of corporate debt and financing behavior in emerging markets, with a particular focus on the role of corporate governance mechanisms. In environments characterized by institutional fragility, underdeveloped financial systems, and heightened information asymmetries, capital structure decisions are especially complex and sensitive to governance-related factors.
The articles included in this Issue explore, through both theoretical and empirical lenses, how board composition, ownership structure, institutional quality, and internal control mechanisms influence firms’ financing choices and debt levels. Special attention is given to the institutional and contextual specificities of emerging economies, which shape firms’ trade-offs between debt and equity, as well as the maturity and nature of financing instruments.
Drawing on original datasets and rigorous methodological approaches, this Special Issue aims to offer fresh insights into the financial governance dynamics at play in transitional economies. It contributes to the ongoing academic debate on how governance structures can mitigate agency problems, reduce financing constraints, and support more efficient capital allocation. It will be of interest to scholars in corporate finance, governance, and institutional economics, as well as policymakers concerned with improving financial development and corporate oversight in emerging market contexts.
